Company history/background

We have signed an agreement as a regional franchisee to operate care homes in Limburg for seniors with a care profile. The deal was financed with a money loan from crowdfunder Kapitaal op Maat and two more private lenders.

A sister company of ours is currently developing 3 care centres and is in talks to purchase a 4th property. This involves working with a capital partner for financing. The sister company will not manage to get two of the 3 care centres opened before mid-2025. The official mill surrounding zoning amendment legislation has led to a delay of about 2 ½ years.

The delay in completion has compromised cash flow for interest payments and delayed repayment. Discussions have been held with concerned parties to reach a solution. In any case, it is considered necessary to continue interest payments until first delivery (mid-2025). Discussions have also been held with franchisor to reach a solution.


Company activities

The company is forced to sell at least 1/3 of its shareholding to a strategic or financial partner. This equity stake will be sold for 125,000 euros, payable in two or three parts if necessary.

The proceeds are highly lucrative so a multitude of personalised arrangements can be made with the new partner from cooperating partner to passive shareholder, from management fee to interest and dividend payments. The return will be proportionately positive with at least a 10% ROI annually. We can also discuss an exit by the time 2 or 3 senior care complexes open at the end of 2025. The exit will then preferably take place through share repurchases by the company.

The old business plan is readily available. The new version is currently being worked on and will be ready at the end of next month.
